Bylaws
ARTICLE I Name
This association shall be known as the Arkansas Nurse Educator Association.
The name of the association shall officially be abbreviated as ANEA.
ARTICLE II Mission
Our mission is to provide all nurse educators in the state of Arkansas with opportunities to influence, improve, and impact nursing education.
ARTICLE III Objectives
The objectives of this Association shall be to:

Advocate for Nurse Educators in Arkansas.

Facilitate collaboration and networking among Nurse Educators in Arkansas.

Collaborate with stakeholders at the state, regional, and national levels.
ARTICLE IV Membership
Eligibility for Membership
Membership shall be open to all academic and clinical nurse educators in Arkansas.
Membership Classifications
There shall be the following classes of members:

Individual Nurse Educators or Students of Nurse Educators.

This category includes individuals who are Nurse Educators or Nursing Education students.

Institution
-
This category includes all Nurse Educators at an institution with a nursing program/s that are approved by Arkansas State Board of Nursing (ASBN).

Retirees
-
This category includes retired Nurse Educators who served as educators in Arkansas.

Dues
Individual fee of $50/year with a reduced membership fee of $25/year for retired educators and student educators (MSN Ed/ Ed Certificate students). Institutional memberships will be invoiced to the institution with a fee of $50/year per member.
ARTICLE V Voting and Quorum
Voting Privileges
Voting shall be one vote per eligible member.
Quorum, Voting, and Electronic Voting

A quorum consists of 50% plus one of the Association’s elected officers

A quorum must be present for a vote to occur at a meeting.

A simple majority of 50% plus 1 will decide all votes of the Association.

If a quorum is not present at a meeting, the Chairperson may refer a motion to the Secretary for the vote to be conducted electronically. In order for the vote to be valid, a minimum of 50% plus one voting members must vote.
ARTICLE VI Officers, Eligibility, Terms, Election, Vacancies, and Resignation
Officers
The officers of AANE shall be Chairperson, Chairperson-elect, Secretary, and Treasurer. All are elected positions.
Eligibility
The officers shall be elected from the membership of the Association.
Terms of Office
The Chairperson-elect shall serve a one-year term as Chairperson-elect and one year as Chairperson. The Chairperson-elect shall be elected during odd years. The Secretary shall serve a two-year term and shall be elected during the even years. The Treasurer shall serve a two-year term and shall be elected during the odd years.
Election
Elections shall be held during the annual meeting. The full membership shall have the opportunity to vote.
Vacancy
In the event of a vacancy in the office of Chairperson, the Chairperson-elect shall succeed to such office for the unexpired term.
In years when there is no Chairperson-elect, the vacancy will be filled by a special election by the voting members of the Association for the unexpired term. Other vacancies shall be filled by the same action for the unexpired term.
Resignation
In the event an officer must resign, a letter of resignation should be provided to one of the remaining officers at the earliest possible convenience, indicating the last date of office.
ARTICLE VII Duties of Officers
Chairperson
The Chairperson shall preside at all meetings of the general membership of the AANE and shall represent the Association. The Chairperson shall perform such other duties as ordinarily pertain to this office.
Chairperson-Elect
The Chairperson-Elect shall preside in the absence of the President. The Officer shall perform such other duties as ordinarily pertain to this office.
Secretary
The Secretary shall ensure an accurate record of all business proceedings of the Association meetings. The Secretary shall perform such other duties as ordinarily pertain to this office
Treasurer
The Treasurer shall manage the finances of the Association. The Treasurer shall perform such other duties as ordinarily pertain to this office.
ARTICLE VIII Meetings of the Association
The regular meeting of the Association shall be held at least annually. Special meetings may be called by the Chairperson as needed. The purpose of the special meeting shall be stated in the call to meeting. At least a ten-day notice shall be given for any special meeting.
Notice of Annual Meeting
Members shall be notified of annual meetings at least 30 days in advance.
ARTICLE IX Amendments/Revision of Bylaws
These bylaws may be amended by vote with the majority of the Association’s members. The amended bylaws, with date of adoption, shall be attached to the minutes of the Association.
ARTICLE X 501(c)(3) Status Information
The organization must file an annual return Form 990-N to prevent auto-revocation of its tax-exempt status.
No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes described in section 501(c)(3). No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
The Arkansas Nurse Educator Association is organized exclusively for charitable and educational purposes under section 501(c)(3) for the Internal Revenue Code, or corresponding section of any future federal tax code.
The Arkansas Nurse Educator Association will not be organized or operated for the benefit of private interests.
The Arkansas Nurse Educator Association will not as a substantial part of our activities attempt to influence legislation; however, should members choose an expenditure limit may be instituted.
The Arkansas Nurse Educator Association will not participate to any extent in a political campaign for or against any candidate for public office.
